Terms and Conditions for Affiliates of Miche Beauty

This document outlines the terms and conditions governing the relationship between Miche Beauty (hereafter referred to as "Company") and the Affiliate (hereafter referred to as "Affiliate") who represents the Company and its offerings through various online and offline channels. The Company expects the Affiliate to adhere to all legal and ethical standards, ensuring a positive and professional representation of the brand.

1. Affiliate Responsibilities

1.1 The Affiliate is tasked with promoting the Company’s products and services across social media platforms, blogs, websites, and other relevant media.

1.2 The Affiliate will generate genuine and high-quality content that faithfully reflects the Company and its offerings.

1.3 The Affiliate must adhere to all applicable legal and ethical standards for product promotion, including compliance with Federal Trade Commission (FTC) regulations. This involves disclosing any material connection with the Company or its products and using appropriate hashtags or disclosures in all promotional materials.

1.4 The Affiliate is responsible for fulfilling all tax obligations related to any compensation received from the Company, including reporting such income on their tax returns.

 2. Compensation and Benefits

2.1 Compensation and/or benefits for the Affiliate will be determined through mutual agreement between the Company and the Affiliate.

2.2 The Company will provide products and/or services for review and promotional purposes as agreed upon by both parties.

2.3 The Company will not be liable for any expenses incurred by the Affiliate while fulfilling their affiliate duties.

3. Content Ownership and Usage Rights

3.1 The Affiliate acknowledges that any content created in relation to the Company will remain the property of the Company and may be utilized for promotional purposes.

3.2 The Affiliate grants the Company perpetual usage right to reproduce, distribute, and showcase any content developed on behalf of the Company.

3.3 The Affiliate agrees not to incorporate any copyrighted or trademarked materials in their creations without prior permission from the respective rights owners.

4. Termination of Agreement

4.1 The Company maintains the right to terminate the relationship with the Affiliate at any time, with or without cause, by providing notice.

4.2 Upon termination, the Affiliate must immediately discontinue all promotions of the Company’s products/services and remove any related content from their social media platforms, blogs, websites, and other media.

By accepting these terms, the Affiliate confirms that they have read and understood the provisions outlined herein. This includes the FTC guidelines related to product promotion, tax responsibilities concerning any compensation received, and the ownership and usage rights of any content produced on behalf of the Company.

This agreement will be governed and interpreted in accordance with the laws of the state where the Company is located, without regard to its conflict of law principles.

If any clause of this agreement is deemed invalid or unenforceable, the remaining provisions will continue to be in effect.
